TERMS AND CONDITIONS OF THE SERVICE (Hereinafter "Terms and Conditions") Pier Leal Marketing S.A.P.I. of C.V. (hereinafter "REWORTH") is an informative and independent medium, which offers the advertising services of offers to different establishments (hereinafter the "Services").

 

By virtue of the use of our Services, the client (hereinafter the "Client") accepts these terms and conditions, so you should read them carefully. We inform you that REWORTH is not responsible for the scope or content of the offers (said term is defined below) because they are managed and published by each establishment with the information that, where appropriate, each of them you want to transmit.

 

By accepting these terms and conditions, the Client acknowledges that all the data and information provided to REWORTH are true, real and verifiable, as well as any other data that enters our platform (hereinafter the "Platform") and empowers REWORTH to verify, by itself or through third parties, at any time the data that the Client provides.

 

In the event that the information provided proves to be false or inaccurate, REWORTH may, at its sole discretion, deny access to the Platform.

 

Consequently, the Client releases REWORTH from any liability derived from the use of inaccurate information that has been provided by the Client, being responsible to REWORTH for the damages that said information may cause to REWORTH or to other Clients or suppliers. In case of using the Platform or any tool included in it, the Client accepts that the security procedures of the REWORTH accounts are commercially reasonable.

 

Likewise, the Client acknowledges the prohibition imposed by REWORTH so that third parties cannot use their personal password, since they understand that the use of said password must be carried out personally and directly by the persons registered with REWORTH for said purpose.

 

First. Definitions.

 

The following terms that are written with capital letters (whether they are used in feminine or masculine, singular or plural), will have the meaning assigned to them below:

 

1. Cashback: Offer modality in which REWORTH participates as an intermediary between Consumers, Establishments and institutions issuing Payment Methods. Pursuant to this Offer modality, REWORTH receives cash payments from Establishments in order to transfer them to the institutions that issue Payment Methods so that they can be credited as reimbursement to Consumers, in the proportion indicated by the Establishment, with respect to the price paid for the acquisition of a good or service in the corresponding Establishment.

 

2. Consumer: is the natural or legal person who owns the Payment Method that obtains the goods and/or services of the Establishment.

 

3. Establishment or Client: is the natural or legal person that, through the REWORTH digital platform, advertises the Offers or benefits it offers.

 

4. Payment Method(s): is a financial product used to make the payment corresponding to the acquisition of goods or services, issued by the institutions with which REWORTH collaborates and for what is understood as accepted by REWORTH.

 

5. Reimbursement Amount: It is the amount of money made available to REWORTH by the Client for Cashback purposes.

 

6. Offers: these are economic benefits in the form of discounts, reimbursements, payment facilities, among others, that the Client may offer to the Consumer through REWORTH.

 

7. User Profile: is the username and password that the Client will use to access the Platform and make use of it.

 

8. Platform: The web and mobile computer system managed by REWORTH that allows the Establishments to program instructions directed to REWORTH, as well as manage the Offers that the Client subscribes to, where applicable.

 

9. Cashback Percentage: : It is the proportion indicated by the Establishment, with respect to the price paid for the acquisition of a good or service in said establishment, which must be reimbursed to the Consumer by virtue of the Cashback.

 

Second. Services.

 

Under these Terms and Conditions, REWORTH will provide the Client with the following services:

 

- Exclusive access to the Platform;

- Create a user account through which the Offers and the benefits of the businesses and branches that register on the Platform are managed;

- Know the status of the Offers

 - Know the statistics regarding the number of users, total transactions, amount of total consumption per user, and the average percentage of transactions carried out per day and;

- Receive technical support;

- Cashback Calculator so that REWORTH, based on the data entered by the Client, can estimate the increase in potential sales of the Client due to the use of Cashback in its Establishment.

- In the event that the Client needs to modify the Offer, they may do so directly from the platform. REWORTH reserves the right to request information regarding the modification made and, where appropriate, at its sole discretion, leave the modification without effect.

- It is understood and the Client accepts that the Cashback Calculator is a tool to estimate the potential impact of the Cashback on a possible increase in sales in its establishment, without said stimulation entailing any commitment on the part of REWORTH in the event that the Cashback does not reach the estimated increase in sales at the Client's Establishment, so the Client disclaims REWORTH from any responsibility in the event that the Cashback does not reach the estimated increase in sales at its Establishment.

 

Third. Delivery of benefits.

 

The Client undertakes to satisfy the Offers, and in the case of Cashbacks, to make available to REWORTH the total amount corresponding to the percentage published and in force for each of the purchases made by the Consumer, through the use of the Payment Methods.

Payment authorized by REWORTH, which will be made known to the Client through the Platform and the official communication channels of REWORTH.

 

The Reimbursement Amount must be made available to REWORTH prior to the Consumer making the purchase of the product in the Establishment with the Payment Method.

REWORTH will only have the obligation to transfer the benefit corresponding to the Cashback Percentage instructed by the Client, provided that it had previously received the corresponding funds from the Client.

 

The Reimbursement Amount, as well as any other amount that must be made available or paid by REWORTH, may be made:

 

  • By deposit or bank transfer to the Consumer to the CLABE assigned on the Platform;

  • By charging the Customer's credit card.

Forth. Obligations.

 

REWORTH agrees to the following:

 

  • To treat as confidential all the information to which you have access due to the provision of your services, as well as all the information you receive from the Establishment.

  • Not to disclose or use the confidential information of the Establishment that it possesses for the purpose of the services, nor to provide third parties, directly or indirectly, verbal or written information, about the methods, systems and activities and in general about all the information confidentiality of any kind corresponding to the Establishment.

  • Not to retain or disclose the content of any document that has been provided, facilitated or obtained by virtue of the provision of services, except as required by a competent administrative or judicial authority.

  • To provide support and maintenance to the Platform so that it operates in optimal conditions.

 

The Client undertakes the following:

 

  • To pre-fund REWORTH in due time and form the benefit to be granted by virtue of the Offers.

  • To treat as confidential all the information received from REWORTH and that generated by reason of this relationship.

  • Not to disclose or personally use the confidential information of REWORTH, which is known to them for the provision of services, as well as not to provide third parties, directly or indirectly, verbal or written information about the methods, systems and activities and in general on all confidential information of any kind that you observe on the Platform.

  • Not to retain or disclose the content of any document that has been provided, facilitated or obtained by virtue of the provision of services, except as required by a competent administrative or judicial authority.

Fifth. Use of the Platform.

 

  • To access the REWORTH service, the Client must register on the Platform and create a user profile, as well as comply with all the requirements established by REWORTH.

  • There are two types of users with the capacity to register on the Platform: Merchant and Financial Institution.

  • The registered Client will have access to the platform exclusively for their own benefit.

  • The Client must keep their access credentials protected at all times, their profile information complete, correct and truthful.

  • Customer agrees that a registered user will be identified by their login credentials and these will be used by only one (1) individual.

  • The Client is fully responsible for keeping their access credentials safe and must not share this information with third parties, including people within REWORTH. REWORTH will never ask the user for their access to provide any service or support.

  • The Client is fully responsible for the use of the Platform under their access credentials.

  • If the Client knows or thinks he knows that his access credentials have been compromised, he must notify REWORTH immediately.

  • REWORTH may collect personal information from the Customer to maintain the service, manage the Customer's account, send notifications or send service or billing information for contracted services and for all purposes permitted by its Privacy Notice.

  • REWORTH may also collect system usage information. Customer agrees that REWORTH may use such information for optimization of its infrastructure, improvement of the user experience within its products, as well as for its continuous improvement purposes.

 

REWORTH reserves the right to accept, decline or cancel any Client's access to the Platform. The structure of the Platform, as well as its navigation, menu, content, etc. may be modified at the discretion of REWORTH.

 

The use of the Platform after said modifications by the Client will be taken as a tacit consent to said modifications.

 

At any time, the Client may send REWORTH an email to the address info@reworth.co with comments and/or suggestions about the Platform, which will not be understood as forced or binding and REWORTH may or may not take them into account to improve the Platform. experience within the Platform.

 

It is possible that the Platform contains links to web addresses of third parties or external to the Platform itself.

 

The content and security in these addresses is not the responsibility of REWORTH, so the risk of accessing or not accessing said sites will be at your own risk.

 

The Client accepts and acknowledges that due to the nature of the Platform, it may be disabled from time to time for maintenance purposes, so that in the event that the Client cannot access it due to maintenance and improvements, no shall at no time be understood as a breach by REWORTH, and the Client may access the Platform once it is enabled.

 

The use of the platform is conditional on your device (such as Internet browser, smartphone, tablet, etc.) meeting the technical specifications required by REWORTH.
